These Terms & Conditions (“Terms”) govern your access to and use of the Vendyl platform (“Platform”). By accessing or using Vendyl, you agree to be bound by these Terms.

If you do not agree, you must not use the Platform.

2. Platform Role

Vendyl is a marketplace platform only.

Vendyl:

  • Is not a seller, manufacturer, or distributor

  • Does not own or control vendor products

  • Does not guarantee product quality, compliance, pricing, or delivery

All transactions occur directly between buyers and vendors.

3. Accounts

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login details and all activity under your account.

Vendyl may suspend or terminate accounts that breach these Terms.

4. Vendors

Vendors are responsible for:

  • Accuracy of product listings

  • Compliance with applicable laws and regulations

  • Pricing, MOQs, lead times, and fulfilment

  • Any warranties, returns, or disputes relating to their products

Vendyl may perform basic verification but does not guarantee vendor legitimacy or performance.

5. Buyers

Buyers acknowledge that:

  • Vendyl does not inspect or guarantee products

  • Product details are provided by vendors

  • Orders, samples, and custom manufacturing involve inherent commercial risk

Buyers are responsible for conducting appropriate due diligence before engaging vendors.

6. Transactions & Payments

Payment processing may be facilitated through third-party providers. Vendyl is not responsible for payment delays, errors, or chargebacks caused by third-party services.

7. Fees

Vendyl may charge platform or referral fees as disclosed to vendors. Fee structures may vary by industry, product category, or agreement.

8. Communications

Vendyl may provide messaging or chat tools to facilitate communication. Vendyl is not responsible for the content, accuracy, or outcome of communications between users.

9. Intellectual Property

All Platform content, branding, trademarks, and software are the property of Vendyl or its licensors. You may not copy, modify, or distribute Platform content without permission.

Vendor content remains the property of the respective vendor.

10. Prohibited Conduct

You must not:

  • Misrepresent products or business information

  • Violate laws or regulations

  • Interfere with platform security or functionality

  • Use the Platform for fraudulent or misleading activity

11. Limitation of Liability

To the maximum extent permitted by law:

  • Vendyl is not liable for indirect, incidental, or consequential losses

  • Vendyl is not responsible for disputes, damages, or losses arising from buyer-vendor transactions

12. Indemnity

You agree to indemnify Vendyl against claims, losses, or damages arising from your use of the Platform or breach of these Terms.

13. Termination

Vendyl may suspend or terminate access to the Platform at its discretion, with or without notice, where these Terms are breached.

14. Governing Law

These Terms are governed by the laws of Victoria, Australia, without regard to conflict of law principles.

15. Changes to Terms

Vendyl may update these Terms at any time. Continued use of the Platform constitutes acceptance of updated Terms.
